Terms and Conditions of Service | Grupo Garpe | Development, Consulting & Automation

1.1 Nature of the Service and Intellectual Property

Grupo Garpe provides technological solutions under a Software as a Service (SaaS) and managed development model. Upon contracting, the client acquires the right to use, deploy, and commercially exploit the web platform hosted on our infrastructure.

The architecture, underlying source code, algorithms, and implemented optimization methodologies are the exclusive intellectual property of Grupo Garpe. This technical measure is strictly necessary to guarantee the highest standards of cybersecurity, optimal loading times, and the continuous stability of the platform against external vulnerabilities. Consequently, the service does not include the delivery of the source code nor access to the development repositories.

1.2 Ownership of Client Assets

The client retains at all times absolute and non-transferable ownership over all assets provided or generated for their business, including:

Corporate information, client databases, and proprietary descriptive texts.
Audiovisual material (photographs, logos, videos, graphic resources).
The domain name (subject to the conditions of section 1.4).

1.3 Rights to Strategic Texts (Copywriting)

The commercial texts, conversion structures, and translations developed directly by Grupo Garpe for the project are the result of proprietary tools and internal methodologies. Their use is exclusively licensed to operate within the ecosystem of the web provided by us, and their extraction or exploitation on third-party platforms without prior consent is prohibited.

1.4 Domain Management and Transfers

In the event that Grupo Garpe manages the domain registration on behalf of the client, the latter is the legitimate owner. If the client decides to migrate their domain to another provider, Grupo Garpe will facilitate the transfer, provided that the client has no outstanding debts and fully assumes any administrative or renewal costs required by the external registering entity to execute the transfer.
